1. General Terms & Conditions (Including Confidentiality & NDA)

Terms and Conditions of Use

These Terms and Conditions (“Terms”) govern your access to and use of the SYNQ website and any associated platforms, materials, or communications (collectively, the “Site”). By accessing or using the Site, you agree to be bound by these Terms.

1. Use of the Site
The Site is provided for informational purposes only. You may not use the Site for any unlawful purpose or in any manner that could impair, damage, or interfere with the operation of the Site or the rights of others including the licensors and owners of the Site.

2. Intellectual Property
All content on this Site, including but not limited to text, graphics, designs, diagrams, trademarks, trade names, concepts, and technical descriptions, is the intellectual property of
SYNQ/HyperTEK/ Quaternion House Limited and/or its licensors and is protected by applicable intellectual property laws. No rights are granted except as expressly stated.

The trademark and name 'SYNQ' and 'SYNQSYS' are and will remain the property of its licensors and Quatenion House Limited/ All rights are reserved. No assignment is made either actual or implied and unless authorised in writing by the directors of Quaternion House and licensors and owners of the text, graphics, designs, diagrams, trademarks, trade names, concepts, and technical descriptions,

3. Confidentiality & Non-Disclosure
By accessing this Site, you acknowledge that certain information made available—whether marked as confidential or not—may constitute proprietary, confidential, or commercially sensitive information belonging to
HyperTEK/ Quaternion House Limited  (“Confidential Information”).

You agree to:

 

  • Keep all Confidential Information strictly confidential

  • Not disclose, copy, reproduce, or distribute such information without prior written consent

  • Use Confidential Information solely for the purpose of evaluating SYNQ and its offerings
     

This confidentiality obligation survives termination of Site access and remains in effect indefinitely, to the maximum extent permitted by law. Any unauthorised use, disclosure, reproduction, or dissemination of Confidential Information shall constitute a material breach of these Terms. In the event of such a breach, you agree to be fully accountable under these Terms and Conditions and, where applicable, under the fullest extent of the terms of the full Non-Disclosure Agreement of HyperTEK / Quaternion House Limited, which is hereby incorporated by reference. SYNQ/HyperTEK and its affiliated entities reserve the right to seek all available remedies, including injunctive relief, damages, and recovery of legal costs, without the requirement to prove actual loss.

Liquidated Damages

You acknowledge and agree that any unauthorised use or disclosure of Confidential Information may cause substantial commercial harm, including loss of intellectual property value, competitive advantage, funding opportunity, and reputational damage, the precise extent of which may be difficult or impossible to quantify.

Accordingly, in the event of a material breach of the confidentiality obligations set out in these Terms, you agree that liquidated damages in the sum of £150,000 (one hundred and fifty thousand pounds) per breach shall be payable to SYNQ and/or HyperTEK / Q House Limited as a genuine pre-estimate of loss, and not as a penalty.

The parties agree that this amount is reasonable in light of the nature of the Confidential Information and the potential impact of unauthorised disclosure. Payment of liquidated damages shall be without prejudice to the right of SYNQ and/or HyperTEK / Q House Limited to seek injunctive relief or other equitable remedies, but shall be credited against any damages awarded for the same breach.

4. No Offer or Reliance
Nothing on this Site constitutes an offer, solicitation, medical advice, or representation of guaranteed outcomes. Any forward-looking statements are subject to risk and uncertainty. You agree not to rely on Site content as the basis for medical, commercial, or investment decisions.

5. Limitation of Liability
To the fullest extent permitted by law, SYNQ/HyperTEK/ Quaternion House Limited shall not be liable for any direct, indirect, incidental, or consequential damages arising from your use of the Site or reliance on its content.

6. Governing Law
These Terms shall be governed by and construed in accordance with the laws of [England & Wales / EU jurisdiction / Insert jurisdiction].

7. Changes
SYNQ/HyperTEK/ Quaternion House Limited reserves the right to update these Terms at any time without prior notice. Continued use of the Site constitutes acceptance of the revised Terms
